Terms of Service

These Terms govern your use of WakilChat (the "Platform") — the website at wakilchat.com, our mobile applications, and related services. The Platform is owned and operated by SAQER MOON FZ-LLC, License No. 5036833, Compass Building, Al Shohada Road, Al Hamra Industrial Zone-FZ, Ras Al Khaimah, United Arab Emirates ("WakilChat", "we", "us"). By creating an account or using the Platform you accept these Terms. You must be at least 18 years old and, if you act for a business, authorized to bind that business. If you do not agree, do not use the Platform.

WakilChat is a trade communication and marketplace platform: listings, multilingual chat, voice and video calls, AI-powered assistance, and connections between buyers and sellers.

WakilChat is not a party to any transaction. We are not a buyer, seller, broker, commercial agent, customs agent, freight forwarder, payment processor, or escrow service. Contracts for goods are made directly between traders. We do not guarantee the existence, quality, safety, legality, origin, or delivery of any goods, nor any party's ability to pay or perform.

Parts of the Platform are answered by artificial intelligence, including chat replies on listings and the voice agent that answers listing calls. AI features are provided for convenience and information only:

• AI responses can be incomplete, out of date, or wrong. Nothing said by an AI agent is a binding offer, quotation, contract, price commitment, availability commitment, or professional advice.

• Automatic translations are machine-generated and may contain errors. Always confirm quantities, prices, specifications, and delivery terms directly with the other party before committing.

• Only a written formal offer expressly issued by WakilChat's trade team, or a contract you conclude directly with another trader, creates obligations.

• Conversations with AI agents (chat and calls) are recorded and stored to operate, secure, and improve the service, as described in our Privacy Policy.

Some marketplace listings are showcase or sample listings that illustrate categories of goods our sourcing network can arrange. Prices, quantities, and images on showcase listings are indicative only. Actual supply, price, and terms are established only through a formal quote process and separate written confirmation. Sponsored or promoted placements are labeled and do not constitute an endorsement.

Keep your credentials and verification codes confidential; you are responsible for activity under your account. Provide accurate, current business information — misrepresentation is grounds for suspension. Verification marks (phone verification, KYC badges) mean only that a specific check was completed at a point in time; they are not a guarantee, endorsement, or creditworthiness assessment of any user. Always conduct your own due diligence.

You are solely responsible for complying with all laws that apply to your trade, including import/export licensing, customs law, product standards, foreign-exchange rules (including National Bank of Ethiopia directives where applicable), tax obligations, and international sanctions. You must not use the Platform to trade in prohibited goods, including: illegal or stolen goods, weapons, narcotics, counterfeit products, protected wildlife or cultural artifacts, hazardous materials without authorization, or anything requiring a license you do not hold.

You must not: defraud or mislead other users; harass or abuse anyone; post false listings or reviews; send spam; upload malware; scrape, harvest, or bulk-download Platform data; attempt to bypass security, rate limits, or verification; misuse AI features (including attempts to extract system instructions or generate unlawful content); or impersonate WakilChat, its team, or other users. We may investigate and take action, including removal of content and suspension, for violations.

WakilChat currently does not hold funds, process trade payments, or provide escrow. Any payment you make or receive in connection with a trade happens outside the Platform, at your own risk. Be alert to fraud: never pay outside agreed terms, verify bank details by voice with a known contact, and be suspicious of pressure to pay quickly. Platform subscription or promotion fees, where offered, are stated at purchase and, except where the law requires otherwise, non-refundable.

You keep ownership of content you post (listings, photos, messages) and grant WakilChat a worldwide, non-exclusive, royalty-free license to host, display, translate, and promote it for operating and marketing the Platform. You confirm you have the rights to what you post. The Platform itself — software, brand, design, AI systems — belongs to WakilChat and its licensors. We may remove any content that violates these Terms or the law.

By registering with a phone number or email you consent to receive verification codes and service messages via Telegram, SMS, or email. Message and data rates of your carrier may apply. You can opt out of marketing communications at any time; service and security messages are part of operating your account.

The Platform is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure, that translations or AI outputs are accurate, or that any trade opportunity is genuine or will succeed.

To the maximum extent permitted by law, WakilChat and its owners, employees, and partners are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, lost goods, failed deals, or business interruption arising from your use of the Platform or any transaction with another user. Our total aggregate liability for all claims is limited to the greater of (a) the fees you paid to WakilChat in the 12 months before the claim, or (b) USD 100. Nothing in these Terms excludes liability that cannot be excluded by law.

You will indemnify and hold WakilChat harmless from claims, losses, and expenses (including reasonable legal fees) arising from your content, your trades, your violation of these Terms, or your violation of any law or third-party right.

Disputes about goods, payment, or delivery are between the trading parties. We are not obliged to mediate, but we may, at our discretion, provide relevant records (such as conversation transcripts) to the parties or to authorities where the law requires or permits.

The Platform relies on third-party services (including Telegram, SMS carriers, app stores, hosting, translation, and AI providers). Their availability is outside our control, and your use of third-party services may be subject to their own terms.

You may stop using the Platform and delete your account at any time. We may suspend or terminate accounts that violate these Terms, create risk for other users, or where the law requires — with notice where practicable. Sections that by nature survive (content license for past use, disclaimers, liability limits, indemnity, governing law) survive termination.

These Terms are governed by the laws of the Federal Democratic Republic of Ethiopia. Any dispute with WakilChat that cannot be resolved amicably within 30 days of written notice shall be submitted to arbitration in Addis Ababa, conducted in English. You and WakilChat each waive class actions to the extent permitted by law.

We may update these Terms as the Platform evolves. For material changes we will give at least 30 days' notice by email or in-app message; continued use after the effective date is acceptance. The English version controls over any translation.

If a provision of these Terms is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or restructuring. These Terms plus the Privacy Policy are the entire agreement between you and WakilChat regarding the Platform. Neither party is liable for delay or failure caused by events beyond reasonable control.
